In the event that circumstances arise warranting the dissolution of a Local Branch of the British Overseas Voters Forum (BOVF), the following procedures shall be followed:
- Two-Thirds Majority Vote: The Local Branch may vote to dissolve itself by a two-thirds majority vote of the Members present at a duly convened branch meeting. Notice of the intention to vote on dissolution shall be provided to all Members in advance, and the vote shall be conducted in accordance with the branch’s bylaws or established procedures.
- Inability to Fill Key Officer Positions: If the Local Branch is unable to find two Members willing to serve as Chair and Secretary, despite reasonable efforts to recruit suitable candidates, the branch may initiate dissolution proceedings. This determination shall be made in consultation with the central BOVF organization.
- Notification to Central BOVF: Upon the decision to dissolve the Local Branch, the branch shall communicate promptly with the central BOVF organization to notify them of the impending dissolution. This notification shall be made formally and in writing, outlining the reasons for dissolution and providing relevant details.
- Removal from Register: Upon receipt of a formal Notice of Local Branch dissolution from the affected branch, the central BOVF organization shall immediately remove the Local Branch from the Register maintained by the Information Officer. This action shall effectively terminate the branch’s status as an active entity within the BOVF organizational structure.
- Disposition of Assets and Records: Any assets, funds, or records held by the Local Branch shall be transferred to the central BOVF organization for appropriate disposition or redistribution in accordance with organizational policies and procedures. The central BOVF shall ensure that any remaining assets or resources are used to further the mission and objectives of the organization.
- Finality of Decision: The decision to dissolve a Local Branch shall be final and binding upon all Members and stakeholders involved. Once dissolution is completed and the branch is removed from the Register, the central BOVF shall no longer recognize the branch as an active entity within the organization.
This clause shall be incorporated into the governing documents of all Local Branches of the BOVF and shall serve as the standard procedure for handling dissolution proceedings in accordance with organizational policies and principles.
